IMPORTANT — PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE STARTING THE GAME, AS THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS, INCLUDING, BUT NOT LIMITED TO, WAIVERS OF RIGHTS, LIMITATION OF LIABILITY, AND YOUR INDEMNITY TO US.

BY SIGNING UP FOR AN ACCOUNT THROUGH THE SITE, OR USING THE GAME, YOU AGREE THAT YOU HAVE READ, UNDERSTAND, AND ACCEPT ALL OF THE TERMS AND CONDITIONS CONTAINED IN THESE TERMS. YOUR USE OF THE GAME IS GOVERNED BY THE VERSION OF THE TERMS IN EFFECT ON THE DATE OF USE. WE MAY MAKE CHANGES TO THE TERMS FROM TIME TO TIME WITHOUT PRIOR NOTICE. IF WE DO THIS, WE WILL POST THE CHANGED PROVISIONS ON THE SITE, AND THE REVISED TERMS SHALL BE EFFECTIVE AT SUCH TIME. IT IS YOUR SOLE RESPONSIBILITY TO REVIEW THE TERMS FROM TIME TO TIME TO VIEW SUCH CHANGES AND TO ENSURE THAT YOU UNDERSTAND THE TERMS THAT APPLY WHEN YOU ACCESS OR USE THE SERVICES. What does the User Agreement govern?
1. The Agreement governs the relationship between you, as a User, and Nekki regarding the use of the Game and your interaction with it.
2. Our Privacy Policy, available at https://fight.me/privacy-policy is an integral part of the User Agreement and is incorporated by reference. You are also obligated to comply with other documents, regulations, policies and terms published by Nekki, including but not limited to the Fight Me project Whitepaper.
3. All terms used in the Agreement with capital letters have the meanings specified in the Fight Me project Whitepaper at https://whitepaper.fight.me/ unless otherwise expressly stated in section 5 of the Agreement or elsewhere.
How does Nekki change the terms of the Agreement?
1. We reserve the right, at our own discretion, to change, supplement or temporarily suspend the User Agreement, as well as other related documents, both with and without prior notice.
2. We notify about changes to the Agreement by updating the "Last updated" section indicated above, or by other means.
3. You are obligated to regularly review the current version of the Agreement and other documents to ensure compliance with them.
4. All changes made to the Agreement replace the previous version with respect to all actions performed after publication of the updated text.
5. If you do not agree with the changes made, you have the right to close your Account in accordance with section 16 of the Agreement. By continuing to use the Game after changes are made, you confirm your agreement with the updated version of the Agreement.
Please read the warnings before using the Game
1. Gameplay and its elements do not correspond to reality:
  - The Game may show scenes of extreme fighting for entertainment purposes. Do not try to repeat this in real life.
  - We bear no responsibility and assume no obligations in case you decide to reproduce game events in reality.
2. Be careful with multiple purchases in the Game:
  - If you start spending significant amounts on purchasing Characters in the Game, control your subsequent actions. Such behavior can be dangerous and lead to financial and psychological consequences.
  - In case of suspicious nature of multiple purchases of Characters or other in-game objects, we reserve the right to check the relevant transactions and, at our own discretion, issue warnings, suspend or completely terminate your Account without prior notice. All decisions about recognizing activity as suspicious are made by us exclusively at our own discretion.
3. Be careful with potentially inappropriate nicknames:
  - In the Game, Users can create their own nicknames that will be visible to other users;
  - Nekki applies a pre-moderation system and makes every effort to block or remove nicknames that do not comply with applicable legislation and the Agreement;
  - Given the large number of Users and possible violations, Nekki cannot guarantee prompt removal of all inappropriate nicknames;
  - By using the Game and agreeing to the Agreement, you understand and accept that you may encounter nicknames that seem unacceptable or offensive to you. In such case, please report it to Nekki by email: info@fight.me;
  - After receiving such notification, we have the right, at our own discretion and without additional consultation with you, to issue a warning, require a nickname change, suspend or block your Account.
4. Be careful with potential health risks:
  - A user of any age and health condition may experience discomfort when exposed to bright visual effects or flashes present in the Game. Possible negative reactions include dizziness, vision impairment or blurring, eye or facial muscle twitching, limb tremor, disorientation, confusion, loss of consciousness or seizures;
  - If any of the above symptoms appear, immediately stop playing;
  - It is recommended to take 15-minute breaks every hour, and also play at a safe distance from the screen in a well-lit room, following standard health and safety precautions.
Definitions
1. In-Game Currency – digital elements of the Game, classified as Materials and Paid Content, used by Users to obtain Characters.
2. In-Game Event – tournaments and other events organized by Nekki for Users within the Game.
3. Game – a gaming product called "Fight me!", including versions for mobile devices and personal computers, available at: https://fight.me/ licensed to you as a User and intended for use on Devices.
4. Content – any materials, including texts, files, documents, graphics, images, design, music, software, audio and video.
5. User-Generated Content – digital content created by the User in connection with using the Game within its permitted functionality.
6. Licensed Content – digital content created by third parties, classified as Materials and licensed by Nekki for use in the Game.
7. Materials – all elements and components of the Game, classified as intellectual property objects in accordance with applicable legislation, including but not limited to: Characters, In-Game Currency, software, source and object code, texts, design, graphics, music, titles, themes, objects, scenery, costumes, effects, dialogues, slogans, places, schemes, concepts, choreography, video materials, sounds, images, audiovisual effects, screen images, as well as their selection and arrangement, trademarks, service marks, trade names, corporate identity, logos.
8. Non-Fungible Token (also "NFT") – A Token that:
  - is unique and cannot be replaced by another Token; and
  - is associated with an identified asset; and
  - is used to confirm the right or origin of an asset.
9. Character (also "Fighter") – a key digital object in the Game, classified as Material in general sense and/or as Paid content in particular, and can also be used as an artistic basis for NFTs created using Third Party Services.
10. Paid Content – a set of digital elements, such as In-Game Currency and Characters, classified as Materials, access to which is provided after payment of licensing fees, except for cases of obtaining a Character through an In-Game Event.
11. User – an individual using the Game.
12. User Agreement (also "Agreement") – a legally binding contract between you as a User (personally or on behalf of a representative) and Nekki.
13. Site – the website https://fight.me/ and its subdomains.
14. Third Party Services – any third-party online platforms, websites or other services providing a full set of Game functions, as specified in the Agreement.
15. Support Service – a team of specialists providing technical and other auxiliary support within the Agreement.
16. Territory – the whole world, except the territories of the United Arab Emirates (UAE) and the United States of America (USA).
17. Token – a cryptographically secured digital representation of value, rights or obligations that can be issued, transferred and stored electronically using distributed ledger technology (DLT) or similar technology.
18. Device – any personal computer or mobile device that allows using the Game according to its functionality.
19. Account – a User account created in the Game using a Device, representing a set of data necessary for using the Game in accordance with the Agreement, and intended for storing User information and managing available Game functions. The Account is created directly in the Game.
20. Nekki (also "we" and derivatives) – the legal entity Nekki FZ-LLC, registered in accordance with the legislation of the United Arab Emirates, registration number CBLS 11896003, local number 100492, legal address: UAE, DMC-BLD05-VD-G00-700.
How to create and maintain an Account?
1. To access and use the Game, you need to create an Account. You can create it on the Site https://fight.me/ by filling out the registration form.
2. By creating an Account, you agree to provide us with reliable, complete and up-to-date information about yourself, as indicated in the registration forms on the Site or requested by us in another way, and undertake to maintain the relevance of this data throughout the entire period of using the Game or our services. Non-compliance with this requirement is considered a violation of the Agreement and gives us the right, at our own discretion, to immediately terminate it unilaterally.
3. You agree that you do not have ownership or other property rights to any Account.
4. You do not have the right to use another person's Account, and you do not have the right to provide access to your Account to other persons.
5. You confirm that you do not have the right to create multiple Accounts, except in cases:
  - when you have our prior written permission; or
  - if this is expressly permitted by the Agreement.
6. You bear full responsibility for:
  - any actions, including purchases, made through the Account;
  - the safety and confidentiality of the Account.
7. Any actions performed in your Account are considered to be performed:
  - by you personally or on your behalf; or
  - with your consent.
8. You acknowledge that we are not responsible for any losses you may incur as a result of your Account being used by third parties - with or without your knowledge.
9. If you believe that your Account is no longer secure, we recommend that you:
  - immediately change your password; and
  - report the problem to our Support Service as soon as possible, available at https://nekki.helpshift.com/hc/en/ or by email info@fight.me.
10. To use the Game, you need to create a nickname. You agree that the nickname is linked to your Account and is displayed publicly. We do not recommend using your real name or full name as a nickname.
11. We may at any time ask you to change your nickname and/or Account password.
12. When creating an Account, Nekki does not provide you with any equipment, devices or services necessary to access the Game. You need to have your own Device and Internet access.
13. You authorize us to conduct checks (directly or through Third Party Services) that we deem necessary to confirm your identity or to protect you and/or us from fraud and other financial crimes, and to take reasonable measures based on the results obtained. We may request additional registration information from you as part of such checks.
14. By providing Personal Data (as defined in our Privacy Policy) through the Site or Game, you agree to the terms of our Privacy Policy and consent to the collection, use and disclosure of your Personal Data (including transfer to credit history agencies, fraud prevention or financial crime agencies) in accordance with such terms.
How does the Game work?
1. The Game is designed on a "player versus player" (PvP) model, where the User, depending on the scenario or circumstances, plays the role of a fight club manager and develops a strategy for advancing to the next levels of the Game, using Characters.
2. In the Game, Nekki provides the User with the opportunity to:
  - purchase Fighters within the Game;
  - add Fighters to the Game by buying them as NFTs through Third Party Services;
  - participate in In-Game Events;
  - win Fighters in In-Game Events;
  - improve Fighters;
  - receive rewards and achievements;
  - sell Fighters as NFTs using Third Party Services;
  - invite friends to the Game.
3. To purchase Fighters directly through the Game interface, you need to obtain In-Game Currency. After it is credited to your Account, you will be able to exchange it for Fighters. In-Game Currency can only be purchased for fiat money (i.e., virtual assets or cryptocurrency cannot be used). In-Game Currency has no monetary or "real" value and cannot be exchanged or converted into real currency. It also cannot be purchased through Third Party Services.
4. You can also obtain Fighters by purchasing them as NFTs through Third Party Services. In this case, you purchase NFTs either from NFT publishers or from other Users. After purchasing an NFT, you can create a corresponding Character in the Game. Please note that Nekki does not participate in the NFT creation process and is not responsible for it - this process is carried out directly between Users and Third Party Services. Nekki only provides a gaming platform on which purchased NFTs can be used.
5. User interaction with Third Party Services, including purchasing Characters from NFT publishers for transfer to the Game, as well as buying and selling Characters as NFTs on third-party NFT markets, is not subject to control, responsibility or regulation by Nekki and the User Agreement.
6. Please note: interaction with Third Party Services may affect the connection between your Account, Characters linked to it, and NFTs. If you create a Character and sell it through a Third Party Service, the Fighter will disappear from your Account. If you purchase an NFT and convert it back to a Character for the Game, it will appear in your Account.
7. You can also obtain Fighters by participating in In-Game Events. No additional fee is charged for participating in such events.
8. There are different types of Characters depending on their initial characteristics and abilities in the Game. Obtaining Characters occurs randomly. Nekki offers the following types of Characters:
  - Common Fighters: not for sale, but visually and in characteristics equivalent to rare Fighters;
  - Rare Fighters: standard Characters with unique characteristics and value in the Game;
  - Epic Fighters: have higher starting characteristics and more spectacular appearance, reflecting their special type or style;
  - Legendary Fighters: have the highest initial characteristics in the Game and refer to famous characters from movies, comics or literature.
9. No one, including Nekki, Third Party Services and other Users, can predict what characteristics a particular Fighter will have. It is impossible to influence and change this process.
10. After creating a Fighter, its basic characteristics cannot be changed. However, you can develop it, receive enhancements, randomly find weapons, faithful companions, useful items, special talents and improved parameters. Nevertheless, the Fighter's initial characteristics remain unchanged.
11. Please note:
  - Our Game is not a game of chance;
  - Nekki does not provide Users with the opportunity to exchange Characters for "real" money or other material values;
  - Any exchange of Fighters for "real" money is possible exclusively through Third Party Services, without Nekki's participation.
12. We provide Users with Support Service through Third Party Services. You can contact Support Service through the following channels:

13. All communication with Support Service is conducted only in English.
What intellectual property rights do we grant you?
1. All Materials are the exclusive intellectual property of Nekki and/or our licensors.
2. After your acceptance of the Agreement terms, Nekki grants you the right to use the Game in its current version under the terms of a non-exclusive, non-transferable and non-sublicensable license during the term of the Agreement exclusively for personal (non-commercial) entertainment purposes.
3. Regarding Licensed Content, after your acceptance of the Agreement terms, Nekki grants you a non-exclusive, non-transferable and non-sublicensable sublicense during the term of the Agreement exclusively for personal (non-commercial) entertainment purposes in accordance with the provisions of the licenses of the Licensed Content rights holders. The provisions of our User Agreement apply equally to Licensed Content as to the Game.
4. The license and sublicense mentioned in clauses 8.2 and 8.3 are granted to Users exclusively on the Territory.
5. Subject to Users' continuous compliance with the Agreement terms, Users may use the provided Game functionality, including:
  - play the Game using a suitable browser;
  - create and delete an Account;
  - use Paid Content;
  - use Licensed Content;
  - use the gameplay save function;
  - contact Support Service.
6. The Game does not provide additional or special functions for creating User-Generated Content.
7. Users are prohibited from copying, modifying, reproducing, imitating, distributing, publishing, transmitting, creating derivative works or otherwise using any Materials in any form and by any means without prior written permission from us or from the relevant rights holder.
8. Users do not receive any property rights to Materials or the Game. All rights not expressly granted to Users under the Agreement are retained by their rights holders. We will fully protect our intellectual property rights in accordance with the law.
9. No element of the Game constitutes legal, financial, medical or other professional advice and should not be considered as such.
About payment and refunds
1. The Game, except for Paid Content, is currently provided free of charge. However, Nekki reserves the right to charge fees for individual existing or new Game features after official notification.
2. The fact that you pay a licensing fee for Paid Content does not make Nekki responsible for your use or non-use of such Paid Content.
3. Nekki does not process payments for Characters within the Game. Nekki is not responsible for refunds or cancellation of actions performed through your Account in accordance with section 6 of the Agreement. All purchases are governed by the terms of the respective Third Party Services. In some cases, they may charge additional fees. To obtain a refund, the User must contact the Third Party Service provider directly. Please review the relevant documents, including user agreements, and follow the instructions provided in them.
4. If you have contacted Third Party Services and received a refund, Nekki has the right to:
  - remove Characters purchased with refunded funds from your Account; and/or
  - suspend access to your Account if refunds occur regularly and/or for fraudulent purposes, or for other reasons determined at Nekki's discretion.
5. We and/or Third Party Services may limit your ability to purchase Characters based on a number of criteria, including but not limited to territory, limited number of available Characters, or other conditions established by us or Third Party Services at our discretion, with or without disclosure.
About using the Game in different countries
1. Nekki does not guarantee that all aspects of the Game, its Materials or anything else are appropriate or available for use in any jurisdiction. When you decide to access and use the Game, you agree that:
  - You do so on your own initiative and at your own risk;
  - You will not use the Game if the use of the Game is prohibited in your country; and
  - You are responsible for compliance with local laws and regulations, if and to the extent that local laws and regulations are applicable.
2. If there is a conflict between any provision of the Agreement and your rights in your country of residence, your rights under applicable law will determine the relevant provision in relation to the conflicting provision of the Agreement, but the rest of the Agreement remains in force and is binding on you.
How does Nekki update the Game?
1. We may change the Game and/or your access to the Game at any time and for any reason.
2. We have the right to change the amounts of licensing fees and other prices for specific Game features at any time and for any reason.
3. We have the right to change the Game and its Materials at any time, at our own discretion, without prior notice.
What are the rules of conduct and your obligations?
1. You are prohibited from performing the following actions in relation to the Game:
  - Insult, harass or intimidate other Users and/or Nekki representatives;
  - Do anything illegal, dangerous, threatening, abusive, obscene, vulgar, defamatory or hateful;
  - Create an inappropriate nickname;
  - Impersonate another User or Nekki representative or disclose any personal information of another User or Nekki representative;
  - Create an Account with false information;
  - Buy, sell, resell, exchange, transfer or otherwise transfer your Account or provide the right to use your Account to anyone;
  - Bypass regional restrictions using VPN and other tools;
  - Use bugs/errors that give an unfair advantage over other Users;
  - Distribute information about bugs, vulnerabilities, exploits, etc. on the Internet;
  - Participate in activities including but not limited to cheating, hacking, automation, "boosting" or interference that gives the User an unfair advantage or damages other Users' experience;
  - Perform denial of service (DDoS) attacks using multiple compromised computer systems to disrupt normal traffic of Nekki's servers or other systems;
  - Refuse to follow the instructions of any Nekki representatives when they are communicated to you;
  - Improperly use Support Service assistance;
  - Use the Game in ways not provided for by the User Agreement and beyond the normal functionality of the Game;
  - Access the source code of the Game and modify it in any way;
  - Copy, distribute, publish or otherwise use any information and/or intellectual property posted in the Game;
  - Create any products and/or services using the Game and/or its elements, conduct reverse engineering, decompilation or otherwise modify the Game in whole or in part;
  - Use the Game in a manner that violates applicable laws or regulations, violates any provision of the Agreement, encourages or facilitates any illegal activity.
2. The specified prohibited types of actions are not exhaustive and are given solely as examples.
3. We want Users to be able to express themselves freely, but not at the expense of others' safety and well-being. Therefore, you agree not to use our Game to post, distribute or transmit any Content:
  - That violates the Agreement or other terms and policies applicable to your use of our Game;
  - That is illegal, misleading, discriminatory or fraudulent (or facilitates such use by others);
  - That you do not own or do not have the necessary rights to distribute; and
  - That violates anyone's rights, including intellectual property rights (for example, infringes another's copyright or trademark rights or distributes or sells counterfeit or pirated Content).
4. You also agree not to perform the following actions:
  - Circumvent or attempt to circumvent any fees or payments due to us;
  - Use, display, mirror or frame the Game or any individual element in the Game, Nekki's name, trademark, logo or other protected information, or the layout and design of any page or form contained on the page, without our express written consent;
  - Attempt to hack or hack our Game or any of our Users, or upload any computer viruses, including worms, trojans, corrupted files, "cancelbots" or any other similar software or programs that may damage the operation of another's device or property or disrupt the operation of the Game;
  - Attempt to access or search the Game or download Content from the site or from the Game using any mechanisms, engines, software, tools, agents, devices (including "spiders", "robots", "crawlers", data analysis tools and the like), except for software and/or search agents provided by Nekki or other publicly available third-party web browsers;
  - Use the Game or any part of it for commercial purposes or in the interests of third parties or in any way not permitted by the Agreement;
  - Attempt to decrypt, decompile, disassemble or reverse engineer any software used to provide the Game;
  - Collect or store any personally identifiable information from the Game about other Users without their direct permission;
  - Impersonate another person or misrepresent your affiliation with any person or organization;
  - Violate any applicable laws or regulations;
  - Use the Game (including purchasing NFTs) for the purpose of concealing economic activity, money laundering or terrorism financing;
  - Engage in deceptive or manipulative trading operations;
  - Use the Game to conduct financial activity subject to registration or licensing, including but not limited to creating and trading securities, commodities, options, debt instruments or other financial instruments;
  - Use the Game on behalf of or at the direction of our competitor with the purpose of interfering with the Game to gain a competitive advantage;
  - Use the Game to post or transmit any unauthorized material, including but not limited to materials that, in our opinion, may cause irritation, are defamatory, racist, obscene, threatening, pornographic or otherwise harmful or violating our systems or network security or those of third parties;
  - Send spam to other Users; or
  - Encourage or allow any other person to commit any of the above.
5. If you become aware of the use of Services in violation of any conditions specified in this section, please contact us at dpo@nekki.com. to report it.
6. Nekki may at any time, at its discretion, establish additional rules of conduct and/or impose other restrictions on your use of the Game.
What happens if you violate our rules of conduct?
1. Nekki has the right to apply disciplinary measures in case you commit prohibited actions specified in section 12 of the Agreement. Specific measures are determined by us individually depending on the nature and/or number of violations. Measures can be applied both individually and in combination.
2. Nekki has the right to apply the following disciplinary measures to the User:
  - Issue a warning in any form;
  - Restrict or terminate access to your Account or to the Game for a definite or indefinite period;
  - Delete your Account without possibility of recovery;
  - Terminate our contractual relationship in accordance with section 16 of the Agreement.
3. Nekki has the right to apply the specified measures without prior notification to the User.
4. Nekki may at any time, at its own discretion, introduce additional or other measures, as well as establish other restrictions regarding the use of the Game.
5. The decision on the possibility of appeal and the duration of applied measures remains entirely at Nekki's discretion.
6. You are not entitled to any compensation for losses - monetary or otherwise - incurred in connection with the application of the above disciplinary measures.
7. In case of signs of offense or crime committed using the Game, Nekki will notify the relevant law enforcement agencies.
Our rules for children and Users with limited capacity
1. The Game is not intended for persons who have not reached the age of majority, or other persons recognized as incapacitated or with limited capacity in accordance with applicable legislation (usually the legislation of your country of residence). We knowingly do not collect personal information of such persons.
2. To use the Game, you must:
  - confirm that you have sufficient legal capacity (for example, have reached the established age allowing you to independently give consent and accept the Agreement); or
  - review the Agreement and our other documents together with a parent or other legal representative, who accepts the terms of the Agreement on your behalf.
3. If you are a parent or legal representative, please note that:
  - You are responsible for the actions of a minor or other incapacitated person when using the Game;
  - By providing consent to register in the Game, you thereby agree to the terms of the Agreement on behalf of such person;
  - It is important to monitor gaming sessions, internet activity, and consider control measures over Devices provided to minors or incapacitated persons;
  - You can contact us using the contacts specified in clause 1.2 of the Agreement if you have any concerns.
4. Minors and other incapacitated Users are prohibited from purchasing Characters without the consent of a parent or legal representative.
5. We have the right to request written confirmation of consent from a parent or legal representative of any User if we suspect that they are a minor or incapacitated.
6. We are not responsible for any actions of minors or incapacitated persons committed without the consent of parents or legal representatives.
How are relationships between you, Nekki and Third Party Services regulated?
1. Our Game may be integrated with Third Party Services or otherwise connected to them.
2. Nekki is not responsible for Third Party Services, including regarding their correctness, accuracy, reliability, appropriateness, reliability, legality, security.
3. Mention of Third Party Services does not mean that Nekki endorses any Third Party Services or has any connection with them.
4. User interaction with Third Party Services is carried out exclusively between the User and the respective Third Party Services. If you want to learn more about Third Party Services, please review their respective user agreements, privacy policies and other relevant documents.
5. For the avoidance of doubt, any agreement or contract entered into by the User with Third Party Services is not related to Nekki, and Nekki assumes no legal responsibility for any actions or inactions related to the conduct, performance or suitability for a particular purpose of any Third Party Services. Any agreement entered into by the User with Third Party Services is at the User's own risk.
Can your Account be deleted?
1. The User Agreement remains in effect until terminated by you or Nekki.
2. Nekki has the right at any time to unilaterally terminate the User Agreement with you and restrict your access to the Game, including in-game currency and Characters, without any compensation or reimbursement of losses incurred, including but not limited to, in case of any violation by the User of the User Agreement. Nekki undertakes to make every effort to notify you within a reasonable time before such termination.
3. If you have more than one Account, Nekki has the right to delete all Accounts that you created, except for the case specified in clause 6.5 of the User Agreement.
4. You have the right at any time to unilaterally terminate contractual relations without notifying Nekki by deleting your Account or Game client from the Device. In this case:
  - access to in-game currency and/or Characters may be restricted without the right of recovery, and thus everything you purchased may be terminated or lost at our discretion;
  - any paid amounts are non-refundable;
  - Nekki does not compensate for any losses;
  - Nekki may delete your profile and related information, however, within the limits permitted by applicable law, Nekki has the right to store your profile and any of the above data on its servers;
  - Nekki has the right to collect any amounts owed to us or anyone else in connection with our Game before deleting your Account;
  - termination of your Account will take effect within a reasonable time after receiving your request.
5. Unilateral termination of the Agreement by you does not release you from liability for violations of the Agreement committed during its validity. Any provision of the Agreement that by its nature assumes its continued compliance after termination of the User Agreement remains in force after such termination.
Use of NFT
1. Nekki acts as a platform on which Users who own NFTs for Characters can use such Characters in the Game.
2. Users can purchase or otherwise obtain NFTs only from Third Party Services under the terms of such Third Party Service providers and based on the provisions specified in section 15 above. Please note that this rule also applies to situations described in clauses 7.3 and 7.7 of the Agreement.
3. Users acknowledge and agree that NFTs created, purchased or obtained are intended only for use in the Game and for any other purposes determined by Nekki, and are not intended for investment or speculation. Users who own NFTs obtained through our Game do not receive and are not entitled to receive any income or monetary payments in any form solely based on owning NFTs.
4. NFT owners do not have ownership rights or licenses to any NFT intellectual property objects or any related functions, except as provided by the Agreement or separately agreed between Nekki and the User.
5. As an NFT owner, you receive a non-exclusive, revocable, non-sublicensable, non-transferable, non-assignable, non-transferable, free, limited and personal worldwide license to use the NFT and any functions associated with your NFT, exclusively for the following purposes:
  - for personal non-commercial use, including use on the platform;
  - to express your interest in the NFT, for example, to promote or discuss the NFT on social media or other internet applications;
  - to attempt to sell or dispose of the NFT or any rights to it, for example, by offering to sell, give or exchange the NFT or any rights to it through Third Party Services;
  - to use your NFT on any third-party website or application that allows inclusion, participation, storage or use of your NFT.
About representations and warranties
1. YOU EXPRESSLY ACKNOWLEDGE THAT YOU USE THE GAME AT YOUR OWN RISK, AND THAT IT IS PROVIDED ON AN "AS IS" OR "AS AVAILABLE" BASIS. NEKKI, ITS LICENSORS AND THEIR REPRESENTATIVES WORLDWIDE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSES AND NON-INFRINGEMENT.
2. WE DO NOT WARRANT AND MAKE NO PROMISES OR WARRANTIES REGARDING THE USE OF THE GAME OR THE RESULTS OF USING THE GAME IN TERMS OF COMPLIANCE, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AVAILABILITY, ETC. TO THE EXTENT PERMITTED BY APPLICABLE LAW, WE PROVIDE NO WARRANTIES REGARDING THE MARKET VALUE OF THE GAME, YOUR SATISFACTION OR FITNESS OF THE GAME FOR A PARTICULAR PURPOSE. FURTHERMORE, WE DO NOT WARRANT THAT THE GAME WILL BE SECURE, UNINTERRUPTED OR ERROR-FREE, BUGS, VIRUSES OR MALICIOUS ELEMENTS, OR THAT ERRORS, BUGS, VIRUSES OR MALICIOUS elements WILL BE CORRECTED. FINALLY, WE DO NOT WARRANT THAT THE INFORMATION, CONTENT AND/OR ELEMENTS AVAILABLE THROUGH THE GAME ARE ACCURATE, COMPLETE OR CURRENT. THUS, WE PROVIDE NO WARRANTIES AND ARE NOT LIABLE TO YOU FOR YOUR OWN ACTIONS AND/OR THE ACTIONS OF OTHER GAME USERS. WE PROVIDE NO EXPRESS OR IMPLIED WARRANTIES REGARDING ANY MATERIALS DOWNLOADED OR OTHERWISE OBTAINED BY USING THE GAME. SUCH ACTIONS ARE PERFORMED AT YOUR OWN RISK, AND YOU ARE RESPONSIBLE FOR ANY DAMAGE TO YOUR HARDWARE OR SOFTWARE, OR FOR DATA LOSS CAUSED BY DOWNLOADING SUCH MATERIALS.
3. YOU BEAR ALL COSTS AND ALL RISKS ASSOCIATED WITH USING THE GAME. IN ADDITION, YOU BEAR ALL COSTS ASSOCIATED WITH ANY SERVICE, REPAIR OR CORRECTION. YOU BEAR ALL RISKS ASSOCIATED WITH LOSS OF TIME AND EFFORT, DATA LOSS (ESPECIALLY GAME DATA), ERRORS OR LOSS OF COMMERCIAL OR OTHER INFORMATION RELATED TO USING THE GAME.
4. YOU BEAR SOLE RESPONSIBILITY FOR ANY DAMAGE CAUSED TO NEKKI, ITS PARTNERS, OTHER GAME USERS OR ANY OTHER NATURAL OR LEGAL PERSONS AS A RESULT OF USING ALL OR PART OF THE GAME IN VIOLATION OF THE LAW OR YOUR OBLIGATIONS PROVIDED BY THE AGREEMENT.
5. UNDER NO CIRCUMSTANCES SHALL NEKKI BE LIABLE TO YOU FOR ANY PAYMENTS OR LOSSES IN CONNECTION WITH THE INABILITY TO USE ALL OR PART OF THE GAME. UNDER NO CIRCUMSTANCES SHALL NEKKI BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES CAUSED BY THE USE OR INABILITY TO USE THE GAME, EVEN IF WE WERE NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES. THIS IS A COMPLETE DISCLAIMER OF LIABILITY THAT APPLIES TO ALL TYPES OF DAMAGES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FROM LOSS OF BUSINESS, PROFIT, GOODWILL, ABILITY TO USE, DATA, COSTS OF ACQUIRING SUBSTITUTE GOODS, SERVICES OR INFORMATION, COURT COSTS, ETC.), REGARDLESS OF BASIS: BREACH OF CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF WARNING OF THE POSSIBILITY OF SUCH DAMAGES WAS GIVEN. THESE LIABILITY LIMITATIONS ARE FUNDAMENTAL CONDITIONS OF THE AGREEMENT BETWEEN NEKKI AND YOU.
6. IN CASE OF YOUR VIOLATION OF YOUR LEGAL OR CONTRACTUAL OBLIGATIONS, WE RESERVE THE RIGHT TO:
  - DELETE YOUR ACCOUNT AND TERMINATE YOUR LICENSE TO USE THE GAME; AND
  - TAKE LEGAL ACTION BASED ON CIVIL OR CRIMINAL LIABILITY TO STOP THE VIOLATION AND OBTAIN COMPENSATION FOR DAMAGES INCURRED.
  IN PARTICULAR, WITHOUT LIMITATION, WE RESERVE THE RIGHT TO HOLD LIABLE ANY USER WHO INTENTIONALLY DAMAGED OR ATTEMPTED TO DAMAGE THE GAME OR VIOLATED ITS LAWFUL OPERATION OR CONTRIBUTED TO SUCH VIOLATION.
7. YOU ACKNOWLEDGE AND AGREE THAT, TO THE EXTENT PERMITTED BY LAW, IN THE EVENT OF A DISPUTE WITH NEKKI OR ITS LICENSORS, YOU MAY:
  - STOP USING THE GAME AND DELETE YOUR ACCOUNT; AND
  - IF NECESSARY, GO TO COURT TO OBTAIN COMPENSATION FOR YOUR LOSSES.
  THE LIABILITY OF NEKKI, INCLUDING ITS LICENSORS, AFFILIATED COMPANIES AND THEIR REPRESENTATIVES TO YOU CANNOT EXCEED THE AMOUNT YOU PAID FOR THE GAME FOR THE TWELVE (12) MONTHS PRECEDING THE DISPUTE.
8. NOTWITHSTANDING THE ABOVE, THE PROVISIONS OF THIS SECTION UNDER NO CIRCUMSTANCES LIMIT OUR LIABILITY TO YOU IN CASE OF FRAUD OR MISREPRESENTATION, AS WELL AS IN CASE OF DEATH OR PHYSICAL HARM CAUSED AS A RESULT OF OUR NEGLIGENCE. IN ADDITION, THE LIMITATIONS, EXCLUSIONS AND LIABILITY DISCLAIMERS SPECIFIED IN THIS SECTION AND OTHER PROVISIONS OF THE AGREEMENT APPLY TO THE EXTENT ESTABLISHED BY APPLICABLE LAW.
9. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIABILITY DISCLAIMERS AND LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, LIABILITY EXCLUSIONS AND LIMITATIONS OPERATE TO THE MAXIMUM EXTENT PERMITTED BY LAW.
About indemnification
1. Nekki has the right to demand that you indemnify and hold harmless Nekki, as well as our licensors, subcontractors and other suppliers from any liability, claims and losses, as well as all expenses, including attorney fees, arising from and/or as a result of your violation of the User Agreement provisions, including your use of the Game, conduct in the Game or any activity of your Account performed by you or another person.
2. You undertake to indemnify Nekki for losses and hold it harmless from liability in case of improper or illegal use of your Account, including cases of illegal or improper use by a person whom you allowed to use your Account.
3. We have the right, at our own expense, to take exclusive responsibility for conducting defense and control over any other cases in which you would normally be obligated to provide our defense. If we exercise this right, you will no longer be obligated to indemnify us within the relevant case.
4. The provisions of this section remain valid and retain legal force after termination of the User Agreement in accordance with applicable law.
What should you know about applicable law and dispute resolution?
1. The Agreement is drafted in accordance with the laws of England and Wales.
2. All disagreements and disputes concerning the Agreement are subject to resolution through negotiations. You can contact Nekki's legal department at dpo@nekki.com. Nekki's legal department will send a written response within 14 (fourteen) business days by the method specified in your request.
3. In case it is not possible to reach an agreement between the User and Nekki through negotiations within 60 (sixty) calendar days from the date the other party receives a written claim, you agree that all disputes arising from or in connection with the Agreement are subject to final resolution at the Dubai Arbitration Centre in accordance with the Dubai Arbitration Centre Arbitration Rules in effect on the date of filing the arbitration request (hereinafter - "Rules"), with the said Rules being considered incorporated into this clause of the Agreement by reference. In accordance with the Rules, the User and Nekki appoint one (1) arbitrator after the dispute arises. The legal seat of arbitration is the Dubai International Financial Centre, and the language of arbitration is English.
4. The User Agreement requires that all claims brought by the User against Nekki be resolved in accordance with this section. Any claims filed or initiated in violation of the provisions of this User Agreement will be considered improperly filed and constitute a violation of the Agreement.
What else should you know?
1. Nekki has the right to transfer its rights and obligations under the Agreement to a third party at its own discretion without prior notice to the User. The User is not allowed to transfer their rights and obligations under the Agreement to another party without explicit written consent from Nekki, and any unauthorized transfer of rights and obligations by the User is considered invalid. In such cases, the User also agrees to compensate for losses caused by such transfer.
2. The Agreement and related documents, including our Privacy Policy, constitute the complete agreement between you and Nekki regarding your use of the Game and supersede all previous or simultaneous agreements, representations, warranties and arrangements, both written and oral, regarding the subject matter of the Agreement.
3. If any provision of the Agreement is to any extent invalid, illegal or unenforceable under applicable law, such provision is subject to exclusion to the extent that it is invalid, illegal or unenforceable. The remaining provisions of the Agreement remain in force and are subject to full enforcement.
4. Section titles and headings are provided solely for convenience and do not affect the meaning or interpretation of any provision of the Agreement.
5. Waiver or inaction by Nekki regarding the exercise of any rights under the Agreement cannot be considered as a waiver of such rights.
6. Nekki is not liable for non-performance of obligations due to circumstances beyond our reasonable control, i.e., force majeure, such as natural disasters, terrorist acts, wars, military actions, riots, embargos, sanctions, counter-sanctions, government actions, epidemics, fires, floods, accidents, strikes, internet outages, as well as unfair actions of third parties resulting from unauthorized access or Game disconnection.
